1. Agreement to Terms
By accessing or using our website and related services (“Services”), you agree to these Terms & Conditions (“Terms”). If you do not agree, please discontinue use.

We may update these Terms periodically. The “Last Updated” date reflects the most recent version. Continued use of the Services means you accept any changes.

4. Eligibility
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are at least 18 years of age. Children under 18 may not use the Services or make purchases.

5. Our Services

Our Services are intended for U.S. users. If you access them from another region, you are responsible for complying with local laws. The Services are not designed for industries requiring specialized compliance (e.g., HIPAA, FISMA, GLBA).

6. Intellectual Property
All content, trademarks, product designs, and materials on the Services belong to KVP Labs or our licensors. You may access and download content for personal use only. Any other use requires our written permission.

7. Your Submissions & Contributions
If you send us feedback or ideas (“Submissions”), you grant us the right to use them without restriction or compensation.

If you post content (“Contributions”), you grant us a non‑exclusive, worldwide license to use, display, and distribute that content as needed to operate and promote the Services. You retain ownership of your content.

You are responsible for ensuring your Contributions are lawful, original, and do not infringe others’ rights. We may remove content that violates these Terms.

8. User Accounts
You may need an account to access certain features. You are responsible for maintaining account security. We may remove or change usernames that are inappropriate or misleading.

9. Products
We aim to display product details accurately but cannot guarantee perfect accuracy. Product availability, pricing, and specifications may change without notice.

10. Purchases & Payment

You agree to provide accurate billing information and authorize us to charge your payment method for purchases, including applicable taxes and shipping. We may limit or cancel orders at our discretion.

Accepted payment methods include major credit cards, Apple Pay, and PayPal.

11. Subscriptions

BY SUBSCRIBING, YOU ACKNOWLEDGE AND AGREE THAT YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE THEN-CURRENT PRICE UNLESS YOU CANCEL BEFORE THE END OF THE CURRENT BILLING PERIOD. Subscriptions renew automatically unless canceled. You may cancel anytime through your account or by contacting us at info@kvp-labs.com, effective at the end of the current billing period. No partial refunds will be issued for unused portions of a billing period unless required by applicable law. Any pending orders at the time of cancellation will be fulfilled. We may adjust subscription pricing upon at least 30 days' prior written notice to you; your continued use of the subscription after the price change takes effect constitutes acceptance of the new price.

PRE-RENEWAL NOTICE. WHERE REQUIRED BY APPLICABLE LAW, WE WILL SEND YOU A REMINDER NOTICE AT LEAST 30 DAYS (OR SUCH OTHER PERIOD AS REQUIRED BY YOUR STATE'S LAW) BEFORE YOUR SUBSCRIPTION AUTOMATICALLY RENEWS. THE NOTICE WILL STATE: (1) THAT YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW UNLESS YOU CANCEL; (2) THE LENGTH OF THE RENEWAL TERM; (3) THE PRICE YOU WILL BE CHARGED AND THE FREQUENCY OF CHARGES; (4) HOW TO CANCEL, INCLUDING A LINK OR OTHER MECHANISM TO CANCEL DIRECTLY; AND (5) OUR CONTACT INFORMATION. IF WE OFFER A FREE TRIAL OR PROMOTIONAL PERIOD, WE WILL SEND YOU A NOTICE BEFORE THE TRIAL OR PROMOTIONAL PERIOD ENDS AND PAID CHARGES BEGIN, STATING THE TERMS ABOVE. THESE NOTICES WILL BE SENT TO THE EMAIL ADDRESS ASSOCIATED WITH YOUR ACCOUNT. FAILURE TO RECEIVE A REQUIRED NOTICE DOES NOT WAIVE YOUR CANCELLATION RIGHTS.

12. Returns

Please review our Return Policy before purchasing. Returns may be denied if misuse or prohibited activities are identified.

13. Prohibited Activities

You agree not to misuse the Services. Prohibited activities include:

Unauthorized data collection or scraping
Attempting to bypass security features
Posting harmful, illegal, or misleading content
Impersonation
Uploading malware
Using the Services for competitive or commercial purposes without permission

Violations may result in account suspension or legal action.

14. Third‑Party Websites & Content

The Services may link to third‑party sites or content. We do not control or endorse these sites and are not responsible for their content, policies, or purchases made through them. You access third‑party sites at your own risk.

15. Advertisers

We may display third‑party advertisements. We do not endorse advertised products or services.

16. Service Management

We may monitor, modify, or restrict access to the Services to maintain security and functionality.

17. Privacy

Your use of the Services is subject to our Privacy Policy. By using the Services, you consent to data processing in the United States. We do not knowingly collect data from children under 13.

18. Termination

We may suspend or terminate your access for violations of these Terms or applicable law. You may not create a new account if your previous one was terminated.

19. Modifications & Interruptions

We may update, suspend, or discontinue the Services at any time. We are not liable for downtime or service interruptions.

20. Governing Law

These Terms are governed by the laws of the State of Iowa, notwithstanding any conflict-of-law principles.

21. Dispute Resolution

Before proceeding to arbitration, both parties agree to attempt informal resolution for sixty (60) days. If the dispute is not resolved informally, it shall first be submitted to mediation administered by the American Arbitration Association (“AAA”) under its then-current Consumer Arbitration Rules. The parties shall share mediation costs equally.

If mediation is unsuccessful, the dispute shall be decided by binding arbitration in accordance with the Expedited Procedures within the Consumer Arbitration Rules of the AAA. The arbitration shall be conducted by a single arbitrator in Des Moines, Iowa, and the arbitrator’s decision shall be final and binding. In any proceeding to enforce these Terms, the prevailing party shall be entitled to recover reasonable attorneys’ fees and costs. Certain claims (e.g., intellectual property, privacy violations, injunctive relief) may proceed in court.

Class actions and representative claims are not permitted.

You may opt out of the arbitration provision by sending written notice to KVP Labs at 731 SE Alice’s Rd., #1044, Waukee, IA 50263 or by email to info@kvp-labs.com within 30 days of first accepting these Terms. Your opt-out notice must include your name, address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Dallas County, Iowa.

22. Corrections

We may correct errors or update information on the Services at any time.

23. Disclaimer

The Services are provided “as is.” We disclaim all warranties to the fullest extent permitted by law. To the extent any KVP Labs product is accompanied by a written warranty, the terms of that written warranty govern and are not limited by this disclaimer. Nothing in this Section is intended to disclaim warranties that cannot be disclaimed under the Magnuson-Moss Warranty Act or applicable state law.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KVP LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL. Our total aggregate liability for all claims arising out of or relating to the Services shall not exceed the amount you paid us in the six months prior to the event giving rise to the claim. Some jurisdictions may not allow certain limitations; in such jurisdictions, our liability is limited to the fullest extent permitted by law.

25. Indemnification

You agree to defend, indemnify, and hold harmless KVP Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your Contributions or Submissions; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

26. User Data

We may maintain data related to your use of the Services but are not liable for data loss or corruption.

27. Electronic Communications

You consent to electronic communications and electronic signatures for all interactions with us.

28. California Users

If any complaint with KVP Labs is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, by telephone at (800) 952-5210, or online at www.dca.ca.gov.

29. Force Majeure

KVP Labs shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, supply chain disruptions, acts of government, cyberattacks, utility failures, or other force majeure events.

30. Miscellaneous

These Terms constitute the entire agreement between you and KVP Labs. If any provision is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. We may assign our rights at any time without notice to you.
